OKLAHOMA INDEPENDENT PROVIDERS ASSOCIATION (OKIPA) MEMBERSHIP AGREEMENT

This Membership Agreement ("Agreement") is entered into between the Oklahoma Independent Providers Association ("OKIPA" or "Association") and the undersigned healthcare provider ("Member"). By submitting a membership application and payment, the Member agrees to the following terms and conditions.

1. MEMBERSHIP ELIGIBILITY

Membership in OKIPA is open to independent healthcare providers licensed and practicing in the State of Oklahoma, including but not limited to physicians, surgeons, nurse practitioners, physician assistants, and other qualified healthcare professionals who operate independently or within small group practices. Applicants must hold an active, unrestricted license to practice in the State of Oklahoma and must not be excluded from participation in any federal or state healthcare program. OKIPA reserves the right to approve or deny any membership application at its sole discretion.

2. ANNUAL MEMBERSHIP DUES

The annual membership dues for OKIPA are as follows: Physician members shall pay Three Hundred Forty-Nine Dollars ($349.00) per year. Membership dues are non-refundable and are due at the time of application or renewal. OKIPA reserves the right to adjust membership dues with thirty (30) days written notice to current members. Additional membership tiers and pricing may be available for group practices, allied health professionals, and organizational partners. Please contact OKIPA for current rates and options.

3. MEMBERSHIP BENEFITS

OKIPA members are entitled to the following benefits, subject to availability and the Association’s ongoing programs: Access to OKIPA’s negotiated contracts and preferred pricing with health plans and payers. Participation in OKIPA’s delegated credentialing program, reducing the administrative burden of individual credentialing with multiple health plans. Legislative advocacy and representation on issues affecting independent healthcare providers in Oklahoma. Access to group purchasing and expense reduction opportunities. Networking opportunities with fellow independent providers across the state. Access to OKIPA’s preferred partners for revenue enhancement and cost savings. Invitations to educational events, webinars, and industry updates. Access to the OKIPA Members Portal for resources, documents, and member communications. OKIPA does not guarantee specific financial outcomes or savings as a result of membership.

4. CODE OF CONDUCT

All members are expected to conduct themselves in a professional and ethical manner consistent with the standards of their respective medical professions and the values of OKIPA. Members shall comply with all applicable federal, state, and local laws, rules, and regulations governing the practice of medicine and healthcare delivery. Members shall not engage in fraudulent, deceptive, or dishonest conduct in connection with their professional practice or their membership in OKIPA. Members shall treat fellow members, OKIPA staff, partners, and patients with respect and professionalism. Members shall not use their OKIPA membership to misrepresent their qualifications, affiliations, or the scope of OKIPA’s endorsement. Violations of this Code of Conduct may result in suspension or termination of membership at the discretion of the OKIPA Board of Directors.

5. TERMINATION AND RENEWAL

Membership is valid for a period of one (1) year from the date of enrollment or most recent renewal. Membership will not automatically renew; members must actively renew their membership and submit payment prior to the expiration date to maintain uninterrupted benefits. Members may voluntarily terminate their membership at any time by providing written notice to OKIPA. No prorated refunds will be issued for early termination. OKIPA reserves the right to terminate or suspend any membership for cause, including but not limited to: violation of this Agreement or the Code of Conduct; loss of licensure or exclusion from federal or state healthcare programs; conduct detrimental to the interests or reputation of the Association; or non-payment of dues. Upon termination, the Member shall immediately cease representing themselves as an OKIPA member and shall lose access to all membership benefits, including the Members Portal, negotiated contracts, and credentialing services.

6. LIMITATION OF LIABILITY

OKIPA provides its services, benefits, and programs on an "as-is" basis. The Association makes no warranties, express or implied, regarding the outcomes, savings, or results that any individual member may achieve through membership. OKIPA shall not be liable for any direct, indirect, incidental, consequential, or special damages arising out of or in connection with membership, including but not limited to loss of revenue, loss of contracts, or business interruption. In no event shall OKIPA’s total liability to any member exceed the amount of membership dues paid by that member in the twelve (12) months preceding the claim. Members acknowledge that OKIPA acts as a facilitator and advocate, and does not serve as a guarantor of any specific contract terms, reimbursement rates, or business outcomes.

7. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the State of Oklahoma, without regard to its conflict of laws provisions. Any disputes arising out of or relating to this Agreement shall be resolved in the state or federal courts located in Oklahoma County, Oklahoma. The parties consent to the exclusive jurisdiction and venue of such courts.

8. MODIFICATIONS

OKIPA reserves the right to modify this Agreement at any time. Members will be notified of material changes via email or through the Members Portal. Continued membership following notification of changes constitutes acceptance of the modified terms.

9. ENTIRE AGREEMENT

This Agreement constitutes the entire agreement between OKIPA and the Member regarding membership and supersedes all prior agreements, representations, and understandings, whether written or oral. If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.

By submitting your membership application and payment, you acknowledge that you have read, understood, and agree to be bound by the terms and conditions of this Membership Agreement.
